With over 33 years of practice, Nadi has been highly active in corporate, M&A, and real estate matters, guiding clients through some of the most complex and high-value transactions across the Middle East and Europe. His corporate practice covers the full spectrum of business law, from company formation and governance to shareholders’ agreements, joint ventures, and corporate restructuring. In M&A, he has advised on landmark acquisitions, disposals, and mergers across multiple sectors, bringing a meticulous approach to due diligence, negotiation, and deal structuring. His real estate and development practice encompasses large-scale residential, commercial, and mixed-use projects, advising developers, investors, and financial institutions on acquisition, financing, regulatory compliance, and contractual arrangements throughout the full development cycle.
He also leads demanding restructuring mandates and delivered sophisticated tax advice in the context of cross-border operations, acting not merely as legal counsel but as a genuine business partner to the families and corporations he serves, navigating seamlessly between various regulatory frameworks and international private law. He is equally active in the venture capital and technology ecosystem, advising VCs, startups, and tech ventures on structuring, financing, and growth strategy.
Nadi has built a solid track record as both litigator and arbitrator, having acted on both sides of significant commercial disputes across multiple jurisdictions, and he won landmark cases in the UK related to the recent banking collapse of Lebanon.
In 2005, Nadi joined one of Luxembourg’s most prominent law firms, where he practiced for a decade before going on to collaborate with leading international law firms in Luxembourg, a collaboration that continues to this day, with a particular focus on the funds industry. He advises investors and family offices on the structuring, establishment, and governance of their investment vehicles, spanning regulated and non-regulated investment funds, trust funds, venture capital structures, and cross-border fund formations.
Beyond his legal practice, Nadi has served as a board member of several companies and international financial institutions for over 20 years, contributing to governance, strategy, and oversight at the most senior levels. He is also co-founder and member of the Board of Directors of Primis Investments, a Geneva-based wealth management and corporate finance company, further cementing his standing within the international investment and financial community.
As such, Nadi is well-versed in navigating the regulatory landscape across multiple jurisdictions, having developed a deep familiarity with the requirements of the Central Bank of Lebanon and the Capital Markets Authority in Lebanon, FINMA in Switzerland, and the CSSF in Luxembourg. His fluency in regulatory matters extends to compliance, AML, and governance frameworks, where he has chaired and served on numerous compliance and AML committees across financial institutions and investment structures. His ability to operate at the intersection of legal counsel, regulatory strategy, and institutional governance makes him a uniquely valuable advisor in today’s increasingly complex compliance landscape.
